Acceptance of Orders - Orders are subject to acceptance by Alpha Water Conditioning Co. Any statement in an order which modifies Alpha Water Conditioning Co.’s Terms and Conditions must first be accepted by Alpha Water Conditioning Co.

Payment Terms – Our normal terms are cash on delivery by certified check, telecheck or money order; open account with net 30 days based upon credit approval and account in good standing; or credit card (Visa, Mastercard, American Express or Discover). C.O.D. accounts may pay for purchases with a company check if you supply the name of your bank and three suppliers who accept your checks. Returned checks are charged a $25.00 penalty. Open accounts are subject to credit approval and we require a credit application be completed. Open account terms are net 30 days; accounts over 45 days will be placed on credit hold.

Minimum Invoice Amount – Invoice amounts under $25.00 will be assessed a handling fee of $3.00.

Taxes – Any tax that may be imposed by law on the sale of goods made or sold by this company shall be added to the sales price.

Shipping – We ship freight via UPS or commercial carrier, F.O.B. Fountain City , Indiana . We reserve the right to select the method of delivery. Alpha Water Conditioning Co. will not be responsible for delays in delivery caused by strikes, accidents, negligence of carriers, weather conditions, or any other causes beyond our control. Alpha Water Conditioning Co.’s responsibility for a shipment ceases upon delivery to any common carrier.

Cancellations – Any order cancelled after acceptance by Alpha Water Conditioning Co. is subject to a 25% cancellation charge. Cancellation of special orders for non-stock products will not be considered if Alpha Water Conditioning Co. is in the process of, or if the product has already been shipped by our vendor.

Returned Goods – Materials may not be returned unless consent has first been obtained in writing by Alpha Water Conditioning Co. Alpha Water Conditioning Co. reserves the right to refuse acceptance of deliveries of merchandise returned without this consent. All returns of saleable goods will be subject to a 25% restocking/handling charge. The customer must ship all returned goods prepaid. Special orders for items not appearing in our catalog or products made to a customer’s specifications cannot be returned for refund. Products which have become obsolete by reason of design change or discontinued as a manufactured product may not be returned for refund.

Order Errors – Claims against a shipment due to error in quantity or goods shipped must be made on receipt of products, otherwise no allowance will be made. When products are shipped on wrapped pallets, cartons must be counted upon receipt. Any shortages or other discrepancies must be reported to Alpha Water Conditioning Co. at the time of receipt.

Pricing and Quotations – Orders will be invoiced at the prices in effect at the time of shipment. Unless otherwise specified, prices are F.O.B. Fountain City , Indiana . All prices are subject to change without notice. Items that do not appear in the product catalog will be quoted upon request. Quotations are good for 30 days from the date of the quotation.

Product changes – Alpha Water Conditioning Co. reserves the right to make changes in pattern, design or materials when deemed necessary without prior notice.

Warranty – All products are warranted to Alpha Water Conditioning Co.’s dealers as to the workmanship and material for a period as indicated on the product’s warranty card. If products do not have a warranty card, the warranty period is one year from date of purchase when products are used in recommended service. This warranty is limited to repair, replacement or credit at Alpha Water Conditioning Co.’s option for such parts that are proven to be defective. Alpha Water Conditioning Co. and its vendors will examine such products or parts and if a defect is found, Alpha Water Conditioning Co. will in its sole discretion, repair the defect or replace the defective part(s). If the part is replaced, Alpha Water Conditioning Co. will be allowed to keep the replaced part. Costs of shipping all parts or products back to the customer shall be the sole responsibility of the customer. In the event a Alpha Water Conditioning Co.’s product is modified in any way other than the point of original manufacture, this warranty is null and void.

Limitation of Liability – The remedy to which Alpha Water Conditioning Co. may be subjected by any breach of warranty or in connection with any goods supplied by Alpha Water Conditioning Co. or by any breach of agreement shall be limited in accordance with provisions herein. In no event, including claim of negligence, shall Alpha Water Conditioning Co. be liable for incidental or consequential damages as defined in Sec 2-715 of the Uniform Commercial Code. Without limitation to the foregoing, in no event shall Alpha Water Conditioning Co. be liable for the loss of use of the product, process, plant equipment or facilities of the purchaser or the end-user whether partially or wholly due to defects in material and/or workmanship and/or design of Alpha Water Conditioning Co.’s goods and in no event shall Alpha Water Conditioning Co. be liable for expenses necessary to remove or reinstall any product supplied by Alpha Water Conditioning Co. or for any damages to other property or equipment resulting from any such removal or reinstallation. Damages resulting from improper storage, improper product rotation, improper handling, freezing, improper installation, fire or any act of God will not be considered by Alpha Water Conditioning Co. as its liability. Alpha Water Conditioning Co. will not assume any expenses or liabilities for repairs or modifications made to its products without its written consent.
